These terms apply to the Arena Credits Program (the "Program") run by AgileRL Inc., a Delaware corporation, and AgileRL Ltd, a company registered in England and Wales (each and together "AgileRL", "we", "us"). Section 11 explains which AgileRL entity you contract with. By applying for or using Program credits, you agree to these terms on behalf of the organization you represent ("you"). Your use of Arena is also governed by our Terms of Service and Privacy Policy. If they conflict, these terms apply to the Program credits.
1. Eligibility
- The Program is open to companies and other organizations, not to individuals acting in a personal capacity.
- You must have authority to accept these terms on behalf of your organization, and accepting the Credits must be allowed under your organization's own policies, including any rules on gifts, procurement or anti-bribery. Public sector bodies may be asked to confirm this in writing before Credits are granted.
- Each organization, including its affiliates, can receive one grant unless we agree otherwise in writing. Submitting several applications or opening several accounts to obtain more Credits is not allowed.
- You must not be located in, or owned or controlled by a party in, a country or region subject to comprehensive sanctions, or appear on any sanctions or restricted-party list. You must comply with all applicable export control and sanctions laws when using Arena, and must not use the Credits for any purpose those laws prohibit.
- We may decline applications from competitors of AgileRL or from organizations we consider outside the purpose of the Program.
2. Applications and selection
- We review applications at our sole discretion. Applying does not guarantee a grant.
- The information you give us must be accurate and complete. We may ask for more detail or verify it before granting credits.
- We may close applications or limit the number of grants at any time.
3. Credits
- Approved organizations receive up to US$20,000 in Arena credits (the "Credits"), applied to the organization's Arena account. The exact amount is confirmed in your grant notice.
- Credits are available for 30 days from the date of grant. Any Credits not used by the end of that period expire automatically and cannot be extended, rolled over or reinstated.
- Credits can only be used for training and inference compute on Arena infrastructure managed by AgileRL. They do not cover compute on your own or third-party infrastructure (including bring-your-own-compute clusters), professional or forward-deployed engineering services, third-party fees or taxes.
- Credits have no cash value. They are non-transferable and non-refundable, and cannot be sold, exchanged or redeemed for cash or other services.
- Usage beyond the Credits, or after they expire, is not covered by the Program. If you have a paid plan or a payment method on your account, that usage is charged at our standard rates. Otherwise, your workloads may stop when the Credits run out.
4. Acceptable use
- You must use the Credits in line with our Terms of Service and all applicable laws.
- You must not use the Credits for cryptocurrency mining, reselling or sublicensing compute, building a competing product, attempting to get around usage limits, or any unlawful, harmful or abusive activity.
- We may suspend or revoke unused Credits if we reasonably believe you have breached these terms, given us false information, or are using the Credits in a way that could harm AgileRL, our users or our infrastructure.
5. Your data and models
- You keep ownership of the data you upload and the models you train with the Credits.
- You confirm that you have the rights and any consents needed to use your data on Arena. You must not upload special category personal data, health records, payment card data, classified information or other regulated data unless we have agreed in writing how it will be handled.
- We process your data in line with our Privacy Policy and only to provide the service, unless you agree otherwise. We may use aggregated, de-identified usage and performance metrics, which do not include your data or identify you, to run and improve Arena. When the credit period ends, your account and data are handled under our Terms of Service, so download any models or results you want to keep.
6. Feedback and publicity
- We may ask for feedback on your experience and may use any feedback you share to improve our products, with no obligation to you.
- We will only name your organization, use your logo or publish a case study with your prior written consent. Ticking the case study box on the application shows interest but is not that consent.
7. No obligation
- Taking part in the Program does not commit you to buying anything from us, and does not commit us to any further offer, discount or engagement.
- We do not guarantee any particular result from your use of the Credits. Any setup help or advice from our team during the Program is given on a reasonable-efforts basis and is not a professional services engagement.
8. Changes to the Program
- We may change, suspend or end the Program, or these terms, at any time. Changes will not reduce Credits already granted to you, except where section 4 applies.
- We will post any updated terms on this page and change the date at the top.
9. Disclaimer and liability
- The Credits and the Program are provided "as is" and "as available", without warranties of any kind, to the extent permitted by law.
- To the extent permitted by law, AgileRL is not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue or data, arising from the Program. Our total liability in connection with the Program will not exceed US$100.
- You will indemnify AgileRL against third-party claims arising from your data, your models or your breach of these terms. Nothing in these terms limits any liability that cannot be limited by law.
10. Taxes
- You are responsible for any taxes or reporting obligations that apply to you in connection with the Credits.
11. General
- If your organization is based in the United Kingdom, the European Economic Area or Switzerland, you contract with AgileRL Ltd, these terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If your organization is based anywhere else, you contract with AgileRL Inc., these terms are governed by the laws of the State of Delaware (without regard to its conflict-of-laws rules), and the state and federal courts located in Delaware have exclusive jurisdiction. Either way, AgileRL may seek urgent injunctive relief in any court with jurisdiction.
- If any part of these terms is found to be unenforceable, the rest of the terms still apply. You may not transfer your rights under these terms without our written consent. These terms, our Terms of Service and our Privacy Policy are the entire agreement between us about the Program, and nothing in them creates a partnership, joint venture or agency relationship.
